Business Context
The Vice President, Accounting Policy and Securities & Exchange Commissions (SEC) Reporting supports the Senior Vice President, Corporate Controller and Chief Accounting Officer by leading the Accounting Policy and Securities and Exchange Commission Reporting for the global business. This leadership role is responsible for the interpretation and application of US GAAP accounting policies and practices, and overseeing the preparation and delivery of external SEC reporting.

As a senior member of the professional staff, contributes expertise in specialized knowledge and skill in a discipline (e.g. Accounting, Finance, Human Resources, Information Resources, Operations Planning & Support, Sales & Marketing) area to support department and/or function objectives. Works with considerable independence, developing operating plans and related operational processes for own department in alignment with broader business objectives. Responsible for selection, supervision and development of staff in accordance with company policies and procedures. Is a recognized authority in this specialized area of knowledge, frequently serving as discipline interface with other areas.

Specific Job Summary
The Vice President, Accounting Policy and SEC Reporting is responsible for visible and effective leadership over the interpretation of US GAAP accounting policies, practices, and the application of those policies and practices to Marriott Vacations Worldwide (MVW) global operations and oversees the preparation and delivery of external SEC reporting, e.g., Form 10-Q, Form 10-K, and other SEC filings, including XBRL exhibits. The Vice President continually monitors emerging financial accounting and disclosure issues and SEC reporting requirements and presents conclusions on the impact to Senior Management and key stakeholder groups. The Vice President partners with senior management and Finance and Accounting leaders within the organization to evaluate the nature of proposed transactions, identify accounting issues, present accounting conclusions and recommend new and amended accounting policies to be implemented. The Vice President manages the external audit of the MVW financial statements including disposition of all issues identified. The Vice President represents MVW internally and externally on all technical accounting matters and coordinates the implementation of new authoritative guidance.

Specific Expected Contributions
Accounting Policy

▪ Interacts with senior members of management, business partners and corporate functions related to new transactions to identify accounting issues. Provides proactive, expert consultation and technical guidance on transactions (e.g., mergers and acquisitions, dispositions, asset sales, leases, variable interest entities and consolidation matters) by identifying and addressing accounting policy and reporting issues and opportunities (e.g., directs financial accounting due diligence efforts and applies complex accounting and reporting concepts to deal structures such that they minimize risk and maximize return for the enterprise).
▪ Provides accounting conclusions on various matters identified within the accounting and finance organization as a whole and others within and associated with MVW, such as, the external auditors. When issues and transactions are material, unusual or complex in nature performs technical research, formulating MVW’s conclusions, and preparing written communications. Directs all technical accounting research efforts including analyzing, researching, and making recommendations based on accounting, reporting and disclosure standards.
▪ Formulates conclusions on accounting treatment supported by authoritative accounting guidance. Contributes to the development of discipline and enterprise policies that facilitate a strong internal control environment.
▪ Proactively monitors current and proposed accounting standards that may have an impact on the Company, including assessing their applicability to MVW and proactively advising senior management of expected impacts.
▪ Prepares MVW’s official commentary on prospective accounting and reporting guidance, including the preparation of comment letters and presentation to standard setters.
▪ Directs the implementation of new accounting and reporting standards within the organization. Collaborates with other departments to develop implementation strategies for changes in accounting standards, while ensuring compliance with accounting policies.
▪ Ensures that senior management is updated on current and pending changes to accounting policies.
▪ Establishes and maintains strong, collaborative relationships with the senior Finance and Accounting leaders and other internal stakeholder groups to understand the business and ensure timely exchange of information.
▪ Manages the external audit process, including negotiating and coordinating resolution of all issues resulting from quarterly reviews and annual audit. Facilitates agreement on accounting conclusions with the external auditors with a focus on bringing issues to conclusion in a timely manner. Reviews and approves external auditor quarterly presentations to the Audit Committee of the Board of Directors. Attends quarterly earnings release Audit Committee meetings.
▪ Designs and directs the implementation of the Accounting Policy documentation retention program.
▪ Represents MVW externally on issues relating to technical accounting matters through participation (e.g. ARDA Finance committee, AICPA Revenue Recognition Task Force).
▪ Negotiates third party contracts to ensure favorable accounting treatment to MVW and maximum cost savings, as appropriate.
▪ Carries out special projects as requested.
▪ Performs similar duties as required.

SEC Reporting
▪ Oversees the preparation of external reports and certifications of MVW’s Form 10-Q and10-K filings.
▪ Assists in the review and preparation of other SEC filings such as 8-Ks, registration statements, DEF 14A.
▪ Collaborates with investor relations on press releases and earnings call scripts.
▪ Prepares MVW’s response to comment letters from the SEC.
▪ Works to continuously improve the effectiveness of MVW’s external reporting and ensure that MVW’s filings reflect best practice.
▪ Ensures completeness and accuracy of financial statement disclosures. Composes new disclosures as necessary.
▪ Designs and leads development of processes to ensure the integrity and accuracy of reports including XBRL tagging, to maintain excellent internal controls over financial reporting, and to maintain highly quality documentation and support.
▪ Establishes formal external reporting policies and procedures and ensure continuous improvement to current policies and procedures.
▪ Reviews and approves the Sarbanes-Oxley 404 documentation relative to the SEC Reporting process on a regular basis.
▪ Performs similar duties as required.

Candidate Profile
Successful candidates should possess knowledge and experience and demonstrate strong leadership and relationship skills as follows:
Generally, a professional position requiring significant knowledge and experience in one or more disciplines and/or business operations and associate management. College degree and/or relevant experience generally required.
Specific Candidate Profile (the education, experience, skills and attributes that are important for this position)

▪ Four year bachelor degree in Accounting, Finance or related discipline or equivalent work experience required.
▪ MBA or Masters of Science Degree in Accounting, Finance or related discipline strongly preferred.
▪ CPA required.

▪ 12-15+ years professional accounting experience, including public accounting experience at the manager and/or senior manager level.
▪ Public accounting experience to include serving large, public companies.
▪ Experience analyzing and recommending appropriate strategies addressing technical accounting issues of complex real estate, joint venture, merger & acquisition, disposition and tax transactions at a publicly traded company.
▪ Lodging / timeshare industry experience preferred.
▪ External (SEC) financial reporting experience, required.
▪ XBRL tagging experience.
▪ Thorough knowledge of audit procedures, including audit planning techniques and methods use to examine, verify, and analyze financial and operating records, statements, and reports.
▪ History of consistently delivering business results.
