Specific Job Summary:

This Paralegal II position is in the Law Department's Global Resort Operations and Owner Services practice group, with primary focus on supporting the day-to-day operations of the various resorts and internal business teams associated with owner services, operations, association governance, finance and accounting, and third-party management. This position involves extensive document review and analysis, legal research, preparation of a variety of different types of agreements, memoranda, summaries, matrices, handling of a variety of licensing matters, daily contact, and interaction with business clients, both at corporate offices and in the field, and other tasks requiring substantial knowledge of the subject matter relative to MVW’s operational business. The paralegal typically works under moderate supervision of a supervising attorney and will have frequent interaction with all the attorneys in the practice group.

Specific Expected Contributions:

• Draft legal correspondence, memoranda, and a variety of documents for attorney review; once reviewed, revise, consult with business clients as needed, distribute, and transmit legal correspondence, documents, and memoranda.

• Conduct legal research in condominium, timeshare and other project documents, statutory law and other sources as required for support of multiple properties in a variety of jurisdictions.

• Review and analyze condominium and other project maps for resort projects.

• Research, analyze and prepare corporate documents and amendments such as articles, bylaws, rules, and regulations.

• Support numerous operational aspects of new project developments, including licensing, preparation of documents, and research.

• Support reviews of communications and collateral

• Prepare summaries of important project documents.

• Engage in due diligence associated with acquisitions, rebrands, dispositions, turnover, or as may otherwise be required.

• Assist in the preparation of license agreements, easements, leases and other operations related agreements.

• Draft agreements (including, but not limited to, service agreements, concession agreements, construction agreements and consulting agreements) for the maintenance, activities, ancillary businesses, refurbishments, and other services required for day-today operations.

• Review proposed and enacted legislative bills in a variety of jurisdictions that may impact operations and internal business teams.

• Assist in providing support to association governance, safety and security, owner services, risk management, food and beverage, front office, technology, activities, engineering, and other business partners to resolve issues.

• Coordinate with registration, marketing and sales, and development teams regarding updates and amendments to key documents.

• Engage in and assist with creation and updates of processes to enhance utilization of resources within resort operations.

• Perform other duties and special projects as assigned.

• Assist in preparation of license applications and renewal applications, including liquor licensing and any business licenses.

REPORTING RELATIONSHIP:

The paralegal will report to one of the attorneys in the practice group.

Experience/Knowledge

• Minimum of four years of substantive, relevant experience as a paralegal or equivalent experience in a law firm, corporate law department, or government agency.

• Bilingual in English and Spanish helpful but not required.

• Experience in vacation ownership/timeshare industry and real estate helpful but not required.

Education

• Four-year college degree or equivalent qualifying work experience with an excellent performance record.

• Certificate from an ABA-approved paralegal program or qualifying legal experience.
