Business Context

The attorney in this position will lead and oversee legal support for the Exchange and Third-Party Management Segment for Marriott Vacations Worldwide ("MVW"). This position will report to the Senior Vice President & Deputy General Counsel of MVW and will manage several other attorneys and legal professionals.

This position requires an attorney with a breadth of experience in the timeshare, exchange, travel, and hospitality industry both in the United States and in other countries, with a focus on exchange and third-party management, compliance with applicable laws and regulations, registration and licensing requirements, and legislative and regulatory processes.

Specific Job Summary

Responsible to provide direction and strategic leadership to Segment management and associates concerning the global legal and regulatory affairs of the Segment and advise executive leadership on legal issues and risks impacting the Segment. Provides direction and leadership to legal professionals within the Segment, including timely evaluation, training and development of such, sets priorities, and leads Segment-based legal initiatives.

Cooperatively interfaces and collaborates with and supports other members of MVW Law Leadership to achieve Company and Segment objectives, including monitoring of and counseling regarding Segment-specific legislation and regulations in the various federal, state and international jurisdictions which could affect the Segment's business operations; assesses compliance of the Segment against applicable regulatory frameworks and, where necessary, develops and implements initiatives to enhance compliance efforts; and manages and, as necessary, outsources dispute resolution matters within established budgetary constraints.

Additional Segment-specific duties: assists Segment leadership in establishing and maintaining an ethical approach of fair dealing towards Company associates and third parties, including members, clients and vendors; provides or oversees legal advice relating to advertising and marketing practices and materials; reviews, drafts and negotiates agreements governing strategic and other commercial relationships between the Segment entities and third parties or oversees such; and supports MVW's public company initiatives, as requested. Manages overall engagement with outside counsel within areas of responsibility.

This position is based in MVW's Miami, Florida office and will be fully integrated with the larger Law Department based in MVW's worldwide headquarters in Orlando.

Specific Expected Contributions



Affiliation Matters

Oversees the expansion and maintenance of the Interval exchange network, including review and approval of affiliation matters, domestically and internationally; drafts, reviews and negotiates affiliation related agreements or oversees such; oversees preparation, production and approval of various Segment-related annual disclosure statements and their associated key operating statistics audits, and supports the preparation of Segment-related collateral and membership fulfillment materials; oversees all aspects of affiliation compliance, including oversight of fee maintenance and third party notices regarding such; oversees all exchange, travel and other regulatory registrations and compliance with various regulatory frameworks as applicable to the Segment; oversees associated advertising and marketing initiatives.

 Other Commercial Matters

  • Drafts, reviews and negotiates non-affiliation agreements with third parties, including membership benefit providers, non-IT service providers, real estate matters, event planning and sponsorship.
  • Oversees and reviews Aqua-Aston Hospitality (AAH) hotel management and rental management agreements as well agreements documenting other AAH commercial matters.

Compliance Matters

  • Actively engages in compliance assessments for the Segment against applicable regulatory frameworks and, where necessary, develops and implements initiatives to enhance compliance efforts.

Program Development and Evolution

  • Participates with Segment leaders to support the identification, development and implementation of new Segment programs and modifications to existing programs; reviews and revises, as necessary, program terms and conditions; advises as to regulations applicable to such programs, domestically and internationally; strategizes regarding alternative program parameters to determine optimal solutions to meet business objectives within confines of applicable legal requirements; interfaces and collaborates with other MVW Law members and administrative functions, e.g., HR, tax and finance, to advise them as to developing and changing programs so as to afford these areas timely opportunities to provide input and guidance within their areas of responsibility and expertise.

Administrative Matters

  • Participates with other Segment senior personnel to provide strategic leadership for the Segment. Cooperatively interfaces and collaborates with and supports other members of MVW Law Leadership to achieve Company and Segment objectives.
  • Oversees Segment Law staff, including the timely evaluation, training and development of such; sets priorities for Segment Law staff globally and manages Segment-based legal initiatives; establishes and manages the budgets for the Segment Legal team.


Candidate Profile

Education

  • Undergraduate and law degrees from accredited institutions
  • Juris Doctor (JD) required
  • Admission to the Florida Bar or the bar of another state and the ability to qualify under Chapter 17 of the Rules Regulating the Florida Bar for in-house counsel practice

Experience

  • Minimum of 12 years of relevant legal experience in a well-regarded law firm or comparable corporate environment.
