System Job Title: Paralegal II

Leadership Role: INDIVIDUAL CONTRIBUTOR

Specific Job Summary

The Marriott Vacations Worldwide Corporation ("MVW") Law Department services the Company's vacation club businesses. This position is based at MVW's worldwide headquarters in Orlando, Florida and reports to the Senior Vice President and Associate General Counsel within the Corporate Affairs & Finance practice group, which provides legal services to support MVW in the areas of securities law and corporate governance, capital markets, mortgage bank, treasury and risk management and mergers and acquisitions. This position will support the areas of responsibility with a primary focus on securities filings and corporate governance matters. This position requires maintaining the confidentiality of information, assisting and sharing information with multiple stakeholders as appropriate, managing significant work load and time sensitive requests and managing conflicting requirements of multiple stakeholders.

Specific Expected Contributions

Legal Knowledge

  • Assist with the duties of the Corporate Secretary, including preparation for Board of Directors and shareholders meetings;
  • Assist in the preparation of Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statements and annual reports;
  • Provide assistance to shareholders, to the Board of Directors, and to corporate officers for securities transactions;
  • Prepare Form 3, 4 and 5 securities trading reports and submit the same to the SEC after approval by attorney;
  • Maintain records of transactions in securities by insiders;
  • Provide assistance and back-up to the Corporate Secretary for all corporate activities relating to stock records and transactions, including dividends and proxy solicitations;
  • Provide assistance and back-up in the planning and preparation of Board of Directors meetings, assist in drafting notices of meetings, minutes of meetings, and preparation and dissemination of Board packages;
  • Coordinate documentation for closings of financing transactions, including preparation of closing documents and managing the closing process;
  • Assist in managing processes for quarterly, annual and other reporting required pursuant to financing arrangements;
  • Assist with corporate records and management of subsidiary entities as needed or assigned; and
  • Perform other duties as assigned by the Corporate Secretary.

  • Understands MVW's organizational structure/BSC/Internal Processes, i.e., PSM, CRM and NPM -- what they do, how the Law Department fits in, what impacts the business and practice area work and relationships

  • Understands the Law Department's Balanced Scorecard and his/her role in achieving business strategies
  • Identifies resources to get the job done

Candidate Profile

Education

  • Four-year college degree or equivalent qualifying work experience with an outstanding performance record
  • Certificate from an ABA-certified paralegal program or qualifying legal experience

Experience

  • Minimum of four to six years of substantive, relevant experience as a paralegal in the Corporate Secretary's Office of a major corporation or comparable experience in a law firm or corporate environment
