Position Summary

Marriott Vacations Worldwide Corporation (MVW) is a leading global vacation company that offers vacation ownership, exchange, rental, and resort and property management, along with related businesses, products, and services. The company has over 120 vacation ownership resorts and approximately 700,000 owner families in a diverse portfolio that includes some of the most iconic vacation ownership brands. The company also operates exchange networks and membership programs comprised of nearly 3,200 resorts in over 90 nations. The MVW Law Department provides legal support and legal services to all aspects of the Company's business.

This position supports of a wide array of real estate transactions and performs entity organization and maintenance tasks as well as extensive document review and drafting, factual research, and document analysis and organization in connection with entity management support. The position requires regular contact and interaction with the business teams as well as with consultants and outside legal counsel. In addition, the position requires substantial knowledge of the corporate secretary and entity management subject matters relative to MVW companies and of the legal aspects of real estate transactions. This position typically works closely with other paralegals and under moderate supervision of one or more attorneys.

Specific Expected Contributions

• Draft real estate documents and document summaries, memoranda, critical dates matrices, title objection letters, closing checklists and other real estate transaction-related documentation and agreements, all for attorney review and under attorney supervision.

• Review title reports, surveys, and other due diligence reports.

• Draft legal correspondence, documents, and memoranda for attorney review; once reviewed, revise, distribute, and transmit legal correspondence, documents, and memoranda.

• Maintain corporate books and records for domestic and international subsidiaries of MVW.

• Prepare annual meeting minutes, resolutions, delegations of authority and other corporate compliance and maintenance documents.

• Assure compliance with state and local regulations through the regular filing of annual reports, financial statements, qualifications to do business and renewals of the same in numerous jurisdictions.

• Prepare corporate resolutions, unanimous written consents, powers of attorney, and related documentation.

• Manage and maintain filings, organizational and good standing documentation for MVW subsidiaries.

• Independently research legal topics, summarize findings in writing, and file written work product in appropriate paper and electronic files.

• Create, update, and maintain corporate tracking and document database, as appropriate.

• Analyze various documents as requested.

• Interact with outside entities (e.g., outside legal counsel and government agencies) to gather information, documentation, or data.

• Assist paralegals and attorneys in gathering information and resolving issues with clients.

• Perform other duties and special projects as assigned, which may involve handling confidential and sensitive material.

Reporting Relationship

This position reports to an attorney within the Development, Real Estate and Entity Management practice group.

Candidate Profile and Qualifications


• Four-year college degree or equivalent qualifying work experience with an outstanding performance record.

• Certificate from an ABA-approved paralegal program or qualifying legal experience.


• Minimum of one (1) years of substantive, relevant experience as a paralegal or equivalent experience in a law firm or corporate law department.
